Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TradeCoach browser extension, companion mobile app, website, and related services (collectively, the "Service"). By creating an account, joining the waitlist, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What TradeCoach is — and is not

TradeCoach is an educational and trading-discipline tool. It helps you define a trading plan and coaches you toward following your own rules while you trade on third-party platforms such as TradingView.

TradeCoach is not a financial advisor, investment adviser, broker-dealer, or trading signal service. Nothing the Service produces is investment advice, a recommendation, or an offer or solicitation to buy or sell any security, future, option, cryptocurrency, or other financial instrument. The Service does not manage money or place orders on your behalf except, where you explicitly connect a paper-trading brokerage account and enable optional features, strictly under the automated safeguards you configure. You remain solely responsible for every trading decision you make.

2. Risk disclosure

Trading and investing involve substantial risk of loss and are not suitable for every person. Past performance is not indicative of future results. Any coaching, chart interpretation, scenario, quiz, or analysis provided by the Service may be incomplete, delayed, or incorrect. You should not rely on the Service as the sole basis for any trading decision. You could lose some or all of your capital. Only trade with money you can afford to lose.

3. Eligibility

You must be at least 18 years old and legally able to enter into these Terms in your jurisdiction. You are responsible for complying with all laws and any rules of the brokerages and platforms you use alongside the Service.

4. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. Connecting a brokerage (optional)

Some features let you connect a third-party brokerage account (for example, an Alpaca paper account) using API credentials you supply. You authorize the Service to use those credentials only to provide the features you enable, such as previewing orders, applying sizing limits, and — where you opt in to protective automation — flattening positions or restricting activity to enforce the discipline rules you set. Live-money trading is disabled by default. You are responsible for your brokerage relationship, credentials, and any resulting transactions.

6. Acceptable use

You agree not to:

• use the Service for unlawful purposes or market manipulation;
• reverse engineer, scrape, or overload the Service or its APIs;
• resell or redistribute the Service or its outputs as investment advice;
• upload content that infringes others' rights or violates applicable law; or
• circumvent security, rate limits, or access controls.

7. Intellectual property

The Service, including its software, design, and content, is owned by TradeCoach and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal trading. Your trading plan and the data you create remain yours; you grant us the rights needed to operate the Service.

8. Beta and changes

The Service is offered on a beta / early-access basis and may change, break, or be discontinued at any time. Features described on our website may not all be available. We may modify these Terms; material changes will be posted here with an updated date, and continued use constitutes acceptance.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any coaching or analysis is accurate or reliable.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADECOACH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100.

11. Indemnification

You agree to indemnify and hold harmless TradeCoach from any claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your trading activity, or your violation of these Terms or applicable law.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which TradeCoach is established, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located there, unless applicable consumer-protection law provides otherwise.
